  • Advising clients on the best legal structure for their businesses based on their investment and entrepreneurial objectives and needs;
  • Advising and guiding business and non-business entities on legal, regulatory and compliance requirements with regard to their operations;
  • Advising and guiding on tax obligations and compliance including income tax, value added tax (VAT), pay as you earn (PAYE), custom duties, excise tax, capital gains tax (CGT), stamp duty and applicable sectoral levies;
  • Advising and facilitating corporate restructuring, and merger and acquisition of businesses, including through due diligence, contract negotiation, and regulatory compliance in addition to providing guidance on strategies for successful integration post-merger or acquisition;
  • Structuring, drafting and reviewing transactional documentation and commercial agreements in respect to diverse business transactions and activities such as company restructuring, share purchase, joint ventures agreements, agency and licensing;
  • Advising on compliance with securities regulations, including the issuance of stocks, bonds, and other securities;
  • Guiding and advising business entities on corporate governance including legal and regulatory compliance, fiduciary duties and best practices.
